The Buyer shall construct a primary or secondary residence on the Property within three (3) years from the date of execution of this deed.
Such residence shall have a minimum assessed value of One Hundred Fifty Thousand Dollars (CAD $150,000.00) on the municipal assessment roll (hereinafter referred to as the \"Residence\").
If the Residence has not been constructed in accordance with the terms set out herein within three (3) years from the anniversary date of the deed of sale, the Seller shall issue the Buyer an invoice for a penalty of One Thousand Dollars (CAD $1,000.00) as partial liquidated damages, payable on the anniversary of the thirty-seventh (37th) month following the deed of sale, thereby granting the Buyer an additional period of one (1) year to complete the construction of the Residence.
If, after four (4) years from the anniversary date of the deed of sale, the Residence has still not been constructed, the Seller may, at its sole discretion, exercise either of the following options:
a) Exercise its right of cancellation (resolution) of the sale and recover full ownership of the Property; or
b) Charge the Buyer, at the Seller's sole discretion, an annual penalty as partial liquidated damages until a Residence meeting the conditions set out herein has been constructed, each payment granting the Buyer an additional period of one (1) year to complete the Residence. Beginning in the fourth (4th) year, the annual penalty shall increase by Two Hundred Fifty Dollars (CAD $250.00) each year.
If any penalty payment is not made when due, the Seller shall not be bound to honour the extension of time granted to the Buyer and may seek cancellation (resolution) of the sale in accordance with the applicable legal procedure.
In the event of the sale, donation, or transfer of the Property to a third party, the anniversary date used to determine the obligations set out in this clause shall remain that of the original sale. Accordingly, if penalty invoices have already begun to accrue, they shall continue according to the same schedule and amounts set out above.
The foregoing conditions shall be reproduced verbatim in all future deeds affecting the Property until such time as the Residence has been constructed. The Buyer's heirs and assigns shall also be bound by these obligations.
Notice to Buyers: The real estate broker is bound by a brokerage contract with the Seller and therefore protects and promotes the Seller's interests. The broker will nevertheless provide you with fair treatment. You are also advised that you have the right to be represented by the licensed real estate broker of your choice.
